Partner Program Terms and Conditions

Effective: October 2026 — Version 1.0

Becomery LLC (Wyoming, United States of America)

1. Nature of Relationship (Independent Contractor)

The relationship between Becomery LLC and the Partner is strictly that of independent contracting parties. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. The Partner acts autonomously and has no authority to bind Becomery LLC.

2. Eligibility and Registration

To participate, Partners must be at least 18 years old, possess full legal capacity, and provide accurate registration information. Final commission payout authorization requires account approval, valid payment details, and an executed IRS tax form (Form W-8BEN or W-9).

3. Sovereign First-Touch Attribution

In alignment with Becomery's methodology, attribution operates on a Sovereign First-Touch model upon registration. The link between the student and the Partner is permanently recorded when the user creates a free account via the partner link (?ref= or /r/). When the user later converts to a paid subscription, commission belongs to the initial partner, regardless of subsequent clicks on third-party links.

4. Commission Structure and Net Revenue in USD

The default commission rate is 20% calculated strictly on Net Revenue in US Dollars (USD). Net Revenue is determined by deducting payment gateway fees (Stripe or Rebill), indirect taxes (VAT, Sales Tax, IOF), and foreign exchange conversion costs from the gross purchase amount.

5. 30-Day Holding Period and Clawback Policy

All commissions remain pending for 30 calendar days from the date of confirmed payment to cover satisfaction guarantees and chargeback periods. If a purchase is refunded or disputed prior to release, the commission is cancelled. If a refund occurs after payout, the amount is subject to clawback and will be deducted from future commissions.

6. Payouts, Batches, and Minimum Threshold

The minimum payout threshold is $50.00 USD in available balance. Payments are processed in periodic administrative batches via PIX (for Brazilian account holders) or Wise/ACH (for international transfers). Partners are responsible for ensuring bank accuracy.

7. International Tax Compliance (IRS W-8BEN and W-9)

As a Wyoming limited liability company, Becomery LLC requires digital execution of US tax documentation prior to any payout. Non-US residents must submit Form W-8BEN, certifying services are performed entirely abroad pursuant to IRC Section 862(a)(3). US persons must submit Form W-9. Tax records are securely retained for 7 years.

8. Global Advertising Transparency and Consumer Protection

Partners must strictly adhere to international advertising guidelines. Commercial relationships must be clearly and conspicuously disclosed using labels such as #ad, #paidpartner, or explicit disclosures, pursuant to FTC Guides (16 CFR Part 255), CONAR and Brazilian CDC, EU Directive 2005/29/EC and Omnibus Directive (EU) 2019/2161, UK CMA and ASA standards, and Latin American consumer protection regulations.

9. Prohibition of Diagnostic Terminology and Clinical Claims

Becomery and its AI systems ('The Nexus' and 'The Navi') are educational and reflective self-inquiry tools. Partners are strictly prohibited from using the word 'diagnóstico' or 'diagnosis' in marketing materials, claiming that Becomery replaces medical or psychological treatment, or promising guaranteed health or financial outcomes.

10. Brand Protection and Prohibition of Brand Bidding

Partners are strictly prohibited from bidding on search engine keywords (Google Ads, Meta Ads, TikTok Ads, Bing) containing 'Becomery', 'The Nexus', 'The Navi', 'Jornada Metamorfose', or variations thereof, as well as creating websites, domains, or social accounts that imitate official company branding.

11. Prohibited Commercial Practices and Anti-Fraud

Prohibited actions resulting in immediate termination and forfeiture of commissions include: (a) self-referrals or purchasing through one's own partner link; (b) unsolicited messaging (SPAM) across email, messaging apps, or social media; and (c) offering direct cash rebates or kickbacks to prospective purchasers.

12. Intellectual Property and Limited License

All intellectual property rights in Becomery, its methodology, software, and content remain exclusively with Becomery LLC. Active partners receive a limited, revocable, non-exclusive license to use official promotional assets strictly for program marketing.

13. Term and Termination

This Agreement becomes effective upon electronic acceptance and may be terminated by either party upon 15 days written notice. Termination for cause (fraud, brand bidding, clinical claims, or tax delinquency) takes effect immediately with forfeiture of accrued commissions.

14. Limitation of Liability

To the maximum extent permitted by law, Becomery LLC's aggregate liability under this Agreement shall not exceed the total commissions actually paid to the Partner in the 6 (six) months preceding the claim.

15. Indemnification

Partners agree to defend, indemnify, and hold harmless Becomery LLC against any claims, losses, regulatory penalties, or expenses resulting from their breach of this Agreement or violations of applicable law.

16. Amendments to the Agreement

Becomery may update these terms with 15 days prior notice via email or portal notification. Continued participation after the effective date constitutes full acceptance of revised terms.

17. Governing Law and Binding Arbitration

This Agreement is governed by the laws of the State of Wyoming, USA. Any unresolved disputes shall be settled through binding individual arbitration administered by the American Arbitration Association (AAA) in Cheyenne, Wyoming, with class actions explicitly waived.

18. Final Provisions and Electronic Signature

Electronic confirmation during onboarding constitutes affirmative consent to this Agreement with full legal and binding effect under international electronic signature laws.
